TERMS & CONDITIONS

  1. In as much as applying for trade account with Awan International you are agreeing to abide by all of our terms & Condition. Any future transaction between the companies will be subjected to these.
  2. In regards to the goods you confirm that:
      • You are the legal owner of any goods that will be supplied to Awan International and these are freely available in the market place. You have proof of ownership of the goods and will make this available to Awan International .
      • The goods have not been sold to another party previously and that there is no dispute regarding the goods with government and non-government authority or organisation.
      • The goods are not involved in any criminal investigation.
      • Any goods sold to Awan International have been supplied to you at the current market value to the best of your knowledge. If you are selling the goods to us at a lower price then you have original purchased we require documentation to support your legitimate reasons for doing so.
      • You are satisfied that the goods sold to us exist and have not been sold previously by yourselves or any parties related to you. Any goods sold to Awan International have been subject to inspection by your company or by an appointed recognised agent or by the freight forwarders etc.
  3. With regard quality standards of trading you confirm that :
  4. Due diligence is carried out in all dealings with your suppliers, with specific reference to those pertaining to all transactions involving Awan International .
  5. You have no reason to suspect that relevant VAT on any goods supplied to us have not been paid for by your supplier or will not be paid now or in the future. You confirm that your Fiscal Identification Code or VAT number is correct and valid and the relevant VAT will be declared to us in your sales invoice. You confirm that your suppliers VAT registration number is valid at the time that the purchase take place.
  6. You must be able to confirm that third party payments have not been made by your supplier on the goods.
  7. All available checks with the appropriate authorities have been carried out on all your suppliers and have been passed as being good standing.
  8. Awan International will not take any responsibility for any losses incurred by your company by breaching the conditions laid out above and /or in any case that you cannot supply the goods on the agreed schedule and to the agreed specification.

Terms & Condition of Sale

  1. General
All orders are accepted on Awan International Terms and Conditions of sale.
  1. Goods
All description and illustrations in Awan International price lists and advertisement or otherwise communicated to the buyer are intended merely to present a general idea of the Goods described therein, and nothing contained in any of them form any part of the contract.
  1. Prices
Awan International reserves the right to change the price of the Goods before delivery. Value Added Tax at the rate ruling at the invoice tax point date will be added to the price to sales price UK.
  1. Payment
Payments shall be made by cash, cheque, bankers draft or electronic transfer with order unless a credit period has been agreed in writing with Awan International .
  1. Delivery
All delivery dates are estimates only and the time of delivery shall not be the essence of the contract. In no circumstance shall Awan International be liable to compensate the buyer in damages or otherwise arising there from. Delivery shall be deemed to take place when the goods arrive at the premises of the buyer.
  1. Passing of the risk and property
Risk or loss or damage to the Goods shall pass to the buyer at the time of delivery.
  1. The Goods shall remain the sole and absolute property of Awan International as legal and equitable owner until such time as the buyer shall have paid to Awan International the agreed price together with the full price of any other Goods the subject of any contract with Awan International .
  2. The Buyer may sell the Goods in the ordinary course of business but shall not otherwise (and shall not purport to) sell, mortgage, encumber or part with the possession of the Goods or allow any lien or encumbrance to arise over them.
  1. Inception of Goods
The Buyer shall inspect the Goods immediately on receipt thereof and shall within 2 days give notice to Awan International of any damage to the Goods and shall within 7 days give notice to Awan International in detail of any grounds on which the buyer alleges that the Goods are not in accordance with the Contract or are defective. If the Buyer fails to give such notice the Goods shall be conclusively presumed to be in respects in accordance with the contract and free from defect which would be apparent on reasonable examination of the Goods and Buyer shall be deemed to have accepted the Goods accordingly. In the event that the Buyer establishes to Awan International reasonable satisfaction that the gods are not in accordance with the contract or are defective, the Buyer’s sole remedy in respect of such non-accordance or defects should be limited as Awan International may elect to return the Goods, and the Buyer should be refunded by the way of credit note.
  1. Resale Of Goods
It shall be the responsibility of the Buyer to ensure that the:
  1. Goods remain, until resold, in the containers in which they are supplied by Awan International and all labels, names, reference marks and numbers are not removed, altered or covered up at anytime;
  2. Goods are resold only from premises suitable for their storage, display and sale.
Awan International will not give the Buyer credit for any Goods which have been tampered with, price marked, or similarly disfigured.
The Buyer shall not remove any plaque or other label affixed to the Goods referring any user thereof to Awan International ’s instruction and/or recommendations for use packed by Awan International with the Goods which Awan International has otherwise notified to the Buyer.
  1. Awan International Liability
Awan International Terms and Conditions of Sale set out Awan International entire liability in respect of the Goods. Awan International liability (if any) whether in contract, fort, delicate or otherwise in respect of any defect Goods, or for any breach of these terms or otherwise in respect of any defect Goods, or for any breach of these terms or of any duty owed to the Buyer in connection herewith, shall be further limited in the aggregate to the price of the Goods in question.
  1. Buyers Indemnity
The Buyer shall indemnify Awan International in respect of all damage, injury or loss occurring to any person or property and against all actions, suits, demands, charges or expenses in connection therewith arising from the condition or use of the Goods in the event and to the extent that the damage, injury or loss shall have been occasioned partly or wholly by the act, omission, negligence or carelessness of the Buyer or his servants or agents or by any breach by the buyer of its obligations to Awan International hereunder.
  1. Cancelation
The Buyer may not cancel the contract without written consent of Awan International , which if given shall be deemed to be on express condition that the Buyer shall indemnify Awan International against all loss, damage , claims or actions arising out of such cancelation unless otherwise agreed in writing.
  1. Electronic Payment for Goods
Payments can be made by SWIFT payment or BACs transfer.
